Terms of Service

1. About these terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "Customer") and Web Accuracy (OPC) Private Limited, a One Person Company incorporated in India under the Companies Act, 2013 (CIN: U72900JH2020OPC014405), with its registered office at C/o Subrata Roy Maulick, Bhawanipur, Doranda, Near Devi Mandir, Ranchi 834001, Jharkhand, India ("Web Accuracy", "we", "us", "our").

By accessing webaccuracy.com, rumadesk.com, or any other website, application or service operated by Web Accuracy (collectively, the "Services"), or by purchasing a subscription or engaging us for project work, you agree to these Terms.

2. Our products and services

Web Accuracy (OPC) Pvt Ltd operates several products and service lines, including but not limited to:

  • Ruma AI (rumadesk.com) — a SaaS AI customer-support platform billed on monthly or 6-month subscriptions, with optional one-time top-up credits.
  • Web Accuracy agency services (webaccuracy.com) — custom website development, mobile applications, UI/UX design, AI/ML, AR/VR and digital marketing engagements, billed per quote, milestone or retainer.
  • Future products launched under the Web Accuracy (OPC) Pvt Ltd corporate umbrella, which will be governed by these Terms unless a product-specific addendum applies.

3. Eligibility and account registration

You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872 (or the equivalent law of your jurisdiction). When you create an account you agree to provide accurate information, keep your credentials confidential, and accept responsibility for all activity under your account.

4. Acceptable use

You agree not to: (a) use the Services for any unlawful, fraudulent or harmful purpose; (b) reverse engineer, scrape, or attempt to derive source code from the Services; (c) use the Services to send spam, malware or content that violates intellectual property or privacy rights; (d) interfere with or disrupt the integrity or performance of the Services; or (e) misrepresent your affiliation with any person or entity.

For Ruma AI specifically, you are responsible for the lawful operation of any AI agent you deploy to your end users, including obtaining all consents required to send their messages to our LLM sub-processors for inference.

5. Fees, billing and taxes

SaaS subscriptions (Ruma AI): subscription fees are charged at the time of purchase via our payment processor (Stripe) and are billed in advance, automatically renewing at the end of each billing period (monthly or 6-month) until you cancel. Prices are displayed at checkout in INR or USD. GST or other applicable taxes will be added where required.

Agency services: charged per accepted quote, statement of work or invoice, in accordance with the milestones agreed in writing. Deposits are non-refundable once work has commenced.

You authorise us (and our payment processor) to charge your payment method for all fees due, including renewals. If a payment fails, we may suspend the Service until payment is received.

6. Subscription term, renewal and cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel before renewal. You may cancel at any time from your account dashboard or by writing to care@webaccuracy.com. Cancellation takes effect at the end of your current paid billing period; you retain access until that date.

7. Refund and cancellation policy

Our refund and cancellation terms are set out in detail on our Cancellation & Refund Policy, which forms part of these Terms. In summary:

  • Monthly Ruma AI subscriptions: non-refundable. You may cancel future renewals at any time.
  • 6-month Ruma AI plans: a prorated refund is available if you cancel within the first 14 days, calculated as the plan price minus the equivalent monthly rate for days used.
  • Top-up credits and one-time add-ons: non-refundable once purchased; unused credits expire at the end of the calendar month in which they were bought.
  • Agency project deposits and delivered work: non-refundable once work has commenced.

All refund requests must be sent to care@webaccuracy.com with proof of purchase. Approved refunds are processed within 7–10 business days to the original payment method.

8. Intellectual property

All software, design, content, trademarks and other intellectual property comprising the Services are owned by Web Accuracy (OPC) Pvt Ltd or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during your subscription term.

For agency engagements, IP ownership of deliverables transfers to the client only on full payment and is governed by the specific Statement of Work.

9. Customer data and confidentiality

You retain ownership of all data you submit to the Services ("Customer Data"), including chatbot conversation content. We process Customer Data only as set out in our Privacy Policy and as necessary to provide the Services. We will not sell your Customer Data.

10. Third-party services

The Services rely on third-party providers (including hosting, payment processing, analytics and large-language-model inference). A current list and the role of each sub-processor is set out in our Privacy Policy. Your use of any third-party integration is subject to that third party's own terms.

11. Disclaimers

Except as expressly stated in these Terms, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. AI-generated outputs may contain errors; you are responsible for reviewing them before relying on them.

12. Limitation of liability

To the maximum extent permitted by law, Web Accuracy's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill.

13. Indemnification

You agree to indemnify and hold harmless Web Accuracy, its directors, employees and agents from and against any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your Customer Data, or your unlawful use of the Services.

14. Suspension and termination

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or use the Services in a way that exposes us or other users to legal or security risk. On termination, your right to use the Services ends and we may delete your Customer Data after a reasonable retention period as described in the Privacy Policy.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to your account address or by a notice on the Services at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The courts at Ranchi, Jharkhand shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to applicable consumer-protection rights granted by the Consumer Protection Act, 2019 to consumers in India.
